Terms of Service - Block Convey

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the websites, platform, and services operated by Block Convey, Inc. ("Block Convey", "we", "us", or "our"), including blockconvey.com and the Prism AI observability platform at prismtrace.blockconvey.com (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Block Convey provides Prism, an AI observability platform that captures LLM traces, enforces guardrails (including PII redaction), scores output quality, and enables compliance reporting. Features available to you depend on your subscription plan.

3. Eligibility and Accounts

You must be at least 16 years old to use the Services.
You are responsible for maintaining the security of your account credentials. Notify us immediately at security@blockconvey.com if you suspect unauthorized access.
You are responsible for all activity that occurs under your account.
You may not create accounts by automated means or under false pretences.

4. Acceptable Use

You agree not to use the Services to:

Violate any applicable law or regulation.
Transmit malware, viruses, or any code designed to disrupt or damage systems.
Attempt to gain unauthorized access to any part of the Services or systems connected to them.
Reverse engineer, decompile, or disassemble any part of the Services.
Resell or sublicense access to the Services without our written consent.
Use the Services to process data in a manner that violates the privacy rights of individuals.
Interfere with the availability or performance of the Services for other users.

5. Subscriptions and Billing

Starter plan: Free of charge. Subject to usage limits stated on our pricing page.
Paid plans: Billed monthly or annually as selected at checkout. Fees are non-refundable except as required by law or as stated in our refund policy.
Plan changes: Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle.
Non-payment: We may suspend or terminate access if invoices remain unpaid for more than 14 days after the due date.
All prices are in USD and exclude applicable taxes.

6. Your Data

You retain all rights to the data you submit to Prism ("Customer Data"). You grant Block Convey a limited licence to process Customer Data solely to provide and improve the Services. We do not use Customer Data to train machine learning models or share it with third parties except as described in our Privacy Policy.

You are responsible for ensuring that your use of the Services to process personal data complies with applicable data protection laws (including GDPR and CCPA). On request, we will enter into a Data Processing Agreement (DPA) with you.

7. Intellectual Property

The Services, including all software, designs, text, and trademarks, are owned by Block Convey and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described here.

If you provide feedback or suggestions about the Services, you grant us a royalty-free, worldwide licence to use that feedback without restriction.

8. Third-Party Services

The Services may integrate with third-party platforms (Databricks, Snowflake, Azure AI Foundry, AWS Bedrock, and others). Your use of those integrations is governed by the third party's own terms of service. Block Convey is not responsible for third-party services.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BLOCK CONVEY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Prism outputs (quality scores, guardrail decisions, audit reports) are informational tools. They are not legal advice, regulatory certifications, or guarantees of compliance. You are responsible for your own regulatory obligations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOCK CONVEY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO BLOCK CONVEY IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR USD $100 IF YOU HAVE NOT MADE ANY PAYMENTS.

IN NO EVENT WILL BLOCK CONVEY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Block Convey and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your Customer Data, or your violation of these Terms.

12. Termination

Either party may terminate these Terms at any time. You may close your account via the platform settings. We may suspend or terminate your access immediately if we believe you have violated these Terms.

Upon termination, your right to use the Services ceases. We will retain your data for 90 days after termination, during which you may export it. After 90 days, your data will be deleted in accordance with our data retention policy.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
